These Terms of Service ("Terms") govern access to and use of the CT Pay white-label wallet and payments platform and related websites, applications and services (together, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organisation, you confirm that you have authority to bind that organisation. This document is a generic, illustrative template and should be adapted and reviewed by a qualified adviser before use.
CT Pay provides a multi-tenant, white-label payments platform that operators use to launch and run their own branded wallet and payments businesses. Subject to these Terms and any applicable order form, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the Platform for your internal business purposes during the term of your subscription.
The Platform is provided as a service; no rights are granted other than those expressly stated here. You may not copy, resell, sublicense or create derivative works from the Platform except as permitted in writing.
Access to the Platform requires accounts and credentials that may be issued at operator, merchant and administrator levels. You are responsible for keeping credentials, API keys and access controls confidential and for all activity that occurs under your accounts.
You must promptly notify us of any suspected unauthorised access or security incident. We may suspend or restrict access where we reasonably believe it is necessary to protect the Platform, its users or third parties.
You agree to use the Platform lawfully and not to misuse it. In particular, you must not:
Operators and merchants are responsible for their own use of the Platform, including how they configure it, onboard their users, and comply with applicable laws and payment, anti-money-laundering and consumer-protection requirements.
Where an operator serves its own end-users, the operator is responsible for its relationship with those users, including providing its own terms and privacy notices and acting as the data controller for end-user information. CT Pay generally acts as a processor in that arrangement.
Fees for the Platform are set out in the applicable order form or pricing schedule agreed between you and CT Pay. Unless stated otherwise, fees are exclusive of taxes, are payable in accordance with the agreed terms, and are non-refundable except where required by law.
We may update pricing for future terms in accordance with your agreement. Failure to pay amounts when due may result in suspension or termination of access.
We aim to provide a reliable, high-availability Platform and to offer support in line with any applicable service levels in your agreement. The Platform may, however, be subject to maintenance, updates and occasional interruptions. We do not warrant that the Platform will be uninterrupted or error-free, and where no specific service level applies, the Platform is provided on a commercially reasonable-efforts basis.
The Platform, including its software, design, documentation and underlying technology, and all related intellectual property rights, remain owned by CT Pay and its licensors. Any branding, theming or content you provide remains yours, and you grant us the rights necessary to host and operate it as part of delivering the Platform. Feedback you choose to share may be used to improve the Platform without obligation to you.
Each party may receive confidential information from the other in connection with the Platform. Each party agrees to protect the other's confidential information using reasonable care, to use it only to perform under these Terms, and not to disclose it except to those who need to know and are bound by similar obligations, or where disclosure is required by law.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising out of or relating to the Platform. Each party's total aggregate liability arising under these Terms will be limited to the amount set out in the applicable order form or, where none is stated, to the fees paid for the Platform in the preceding period as defined in your agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.
These Terms apply for as long as you use the Platform or as set out in your agreement. Either party may terminate in accordance with the agreed terms, including for material breach that is not cured within a reasonable period. On termination, your right to access the Platform ends, and each party will return or delete the other's confidential information as required, subject to legal retention obligations.
These Terms are governed by the laws of the jurisdiction specified in your agreement with CT Pay, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive authority over disputes arising from these Terms, unless your agreement provides otherwise.
We may update these Terms from time to time to reflect changes to the Platform, our practices or legal requirements. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
